You need the basic image editior (MS paint and something to edit the xml file - notepad for example), and a lot of time.. i'm working on my first skin for 1650x1050 res, slowgoing....
But as xeon said follow the link above, it tells you all you need to know, not sure if it's been updated for 4.0, i'm guessing there are new xml sections for the record deck image etc (as the needle now moves)
Not %100 sure, but I think you'll need a licence as well, not sure you can change the skin on the demo version.
